1/ The Board of Supervisors (BS) discharged Ing. Petr Baran from the office of Director of MERO ČR, a. s. and elected JUDr. Ing. Mgr. Libor Lukášek to this position.
2/ The Czech Republic – the Ministry of Finance as the sole shareholder discharged JUDr. Ivan Hlinka from the BS of MERO ČR, a. s. and appointed Ing. Ivana Krynesová-Gage to this position.
3/ The BS elected Ing. Ivana Krynesová-Gage the 2nd Deputy Chair of the BS and noted the resignation of Doc. Ing. Karel Kopp from the BS.

of MERO ČR, a. s.
The National Property Fund (FNM) of the Czech Republic, as the sole shareholder of MERO ČR, a. s. with registered office in Kralupy nad Vltavou, decided with the competence of General Assembly based on the decision of the FNM Executive Committee of 24/10/2005 as follows:
1/ Resignation of Pavel Kuta from the BS as of 10/31/2005 has been noted.
2/ Miroslav Šifner was elected to the BS effective from 11/01/2005.

On September 6, 2005 sessions of the Board of Supervisors and the Board of Directors of MERO ČR, a. s. took place and the following personnel changes in the company bodies resulted from the resolutions hereof:
1/ Board of Supervisors
- elected Ing. Vlastimil Boura new Director.
2/ Board of Directors
- elected Ing. Jaroslav Pantůček Chairman of the Board of Directors and appointed him General Manager
- elected Ing. Vít Tůma Deputy Chairman of the Board of Directors
- appointed Ing. Vlastimil Boura Financial Manager

On 06/07/2005 subsequent sessions of the Board of Supervisors and the Board of Directors of MERO ČR, a. s. took place with the following conclusions:
1/ Ing. Václav Franc was discharged from the Board of Directors and from the office of General Manager of MERO ČR, a. s.
2/ Ing. Jaroslav Pantůček, Deputy Chairman of the Board of Directors and Financial Manager of MERO ČR, a. s., was charged with the company management.

The National Property Fund of the Czech Republic, with registered office in Prague 2, Rašínovo nábřeží 42, zip code 128 00, Company ID 41692918, registered in the Companies Register of the Municipal Commercial Court in Prague, section A LXII, file 174 (hereinafter the “Fund”), acting through
1. Ing. Jan Juchelka, Chair of the Fund Executive Committee
2. Pavel Kuta, 2nd Deputy Chair of the Fund Executive Committee
by virtue of S. 190(1) of the Commercial Code, as the sole shareholder of MERO ČR, a. s. with registered office in Kralupy nad Vltavou, Veltruská 748, zip code 278 01, Company ID 60193468, registered in the Companies Register of the Municipal Court in Prague, section B, file 2334 (hereinafter the “Company”), in which the Fund holds 100% of shares, decided with the competence of General Assembly based on the decision of the Fund Executive Committee of 10/11/2004 as follows:
I. The Fund discharges JUDr. Ing. Mgr. Libor Lukášek from the company Board of Supervisors based on the provisions of S. 187 (1) e) of the Commercial Code and Clause 14 (1) g) of the Company Statutes effective from 10/11/2004;
II. the Fund imposes on the company Board of Directors to immediately file the application for registration of changes within this decision in the Companies Register.
